User Terms of Service
Welcome to Ad-It. These Terms of Service (“Terms”) govern your use of the Ad-It User Portal (the “Platform”). By creating an account or using the Platform, you agree to comply with these Terms. If you do not agree, do not use the Platform.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By registering, you confirm you have the legal capacity to enter into this agreement.
2. User Content
- You may upload, create, and share content (“User Content”) through the Platform.
- Ownership: Ad-It does not claim ownership or license rights over your User Content. You retain all rights to your content.
- Permissions Granted: By using the Platform, you grant Ad-It limited permission to analyze, post, distribute, and track your User Content for the purpose of providing Platform services, including advertising placement, analytics, and monetization.
- Restrictions: You may not upload sexually explicit content, content containing malware, viruses, or malicious code, or content that violates the Terms of Service of any linked social media platform.
- You are solely responsible for compliance with third-party platform terms (e.g., TikTok, Facebook, Instagram, etc.) when linking your accounts to Ad-It.
3. Data Use and Privacy
- Ad-It may analyze data associated with your content and activity to improve advertising placements and measure performance.
- Anonymization: All analysis will be performed on anonymized datasets when used for trend analysis, advertising optimization, or reporting. Personally Identifiable Information (PII) will be processed and stored separately with appropriate safeguards.

4. Payments and Taxes
- Users may earn payments through monetization features.
- You are solely responsible for reporting and paying any applicable taxes related to payments you receive from the Platform.
- Ad-It may provide payment statements but does not provide tax advice.
5. User Responsibilities
You agree not to:
- Use the Platform for illegal, harmful, or fraudulent purposes.
- Interfere with or disrupt the security or functionality of the Platform.
- Circumvent or misuse any analytics, tracking, or reporting tools.
- Upload or distribute malicious software, code, or files.
6. Social Media Integration
- You may link your social media accounts to the Platform to enable posting, analytics, and tracking.
- By doing so, you authorize Ad-It to post, track, and analyze content on your behalf.
- You must comply with the Terms of Service of any third-party social media platform you connect to the Platform.
7. Intellectual Property
- The Ad-It Platform, including its trademarks, logos, software, and technology, are owned by Ad-It and protected by intellectual property laws.
- Nothing in these Terms grants you rights to use Ad-It’s intellectual property except as necessary to use the Platform.
7a. Relationship with Clients and Intellectual Property
- No Representation: As a User, you acknowledge that you do not represent, endorse, or act on behalf of any Client unless you have entered into a separate agreement directly with that Client outside of Ad-It.
- No Ownership of Client IP: You do not gain ownership or license rights to any Client’s trademarks, logos, brand materials, likeness, or intellectual property by participating in campaigns.
- Use Restrictions: Any use of a Client’s intellectual property is limited strictly to the single authorized post in which Ad-It places it.
- No Replication: You may not copy, alter, or replicate a Client’s likeness, branding, or intellectual property for other purposes, including reposting, derivative works, or commercial use, without express written permission from the Client.
- Permission Scope: Client permissions granted through Ad-It extend only to the specific campaign post you are included in. These permissions do not carry over to future posts, other platforms, or additional uses.
8. Termination
Ad-It may suspend or terminate your account at any time if you violate these Terms or engage in prohibited activities. Upon termination, Ad-It may retain anonymized data for analytics purposes but will no longer process your PII.
9. Disclaimers
- The Platform is provided “as is” and “as available.”
- Ad-It does not guarantee uninterrupted service, error-free operation, or that advertising placements will result in specific outcomes.
- To the maximum extent permitted by law, Ad-It disclaims all warranties, express or implied.
10. Limitation of Liability
To the fullest extent permitted by law:
- Ad-It will not be liable for indirect, incidental, or consequential damages arising from your use of the Platform.
- Our total liability for any claims will not exceed the greater of (a) $100 USD or (b) the amount you have earned from Ad-It in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Ad-It, its officers, employees, and affiliates from claims, damages, or liabilities arising out of your:
- Violation of these Terms,
- Uploaded or shared content,
- Violation of third-party rights, or
- Breach of social media platform terms.
12. Changes to Terms
Ad-It may update these Terms from time to time. If changes are material, we will notify you by posting an update on the Platform or sending you an email. Continued use of the Platform after updates means you accept the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of [Insert State], without regard to conflict-of-law principles. Any disputes shall be resolved in the courts located in [Insert County/State].
